These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of our Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be held in New York City, New York, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You agree that any cause of action arising out of or related to these Terms must commence within one (1) year after the cause of action accrues. Failure to assert a claim within this period shall result in the claim being permanently barred.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
